Software License Terms for ICAST ERP APPLICATION for Android Tablet and Android Phone

These license terms are an agreement between ELLIPSIS INFOTECH and the user (you). Please read it carefully. This agreement applies to the software named above, which includes the media on which you received it, if any. It also apply to any iCast ERP and iCast ERP Application

• updates,
• supplements,
• Internet-based services, and
• support services

for this software, unless other terms accompany those items. If so, those terms apply.

THIS AGREEMENT IS MADE AND ENTERED INTO AT THE EARLIEST OF WHEN YOU FIRST DOWNLOAD, INSTALL, OR USE THE SOFTWARE. BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE YOU ACCEPT THIS AGREEMENT. IF YOU DO NOT ACCEPT THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE. If an individual enters into this agreement on behalf of a legal entity, that individual represents that he or she has the authority to bind that entity to this agreement.

If you comply with this agreement, you have the rights below.

• 1.      INSTALLATION AND USE RIGHTS.
  • 1.      Installation and Use. You may install and use one copy of the software on Android OS-based tablet or phone devices that you own or control. This software requires connection to computer systems/server, over an Internet-based wireless network, running validly licensed copies of iCast ERP (Any version) for your Android Tablet or your Android Phone. Updates to iCast ERP software or iCast ERP Mobile Application may be required for full functionality. In addition, some functionality may not be available in all countries.
  • 2.      Third Party Programs. The software may include third party programs that Ellipsis Infotech, not the third party, licenses to you under this agreement. Notices, if any, for the third party program are included for your information only.
• 2.      INTERNET ACCESS MAY BE REQUIRED. You may incur charges related to Internet access, data transfer, and other services per the terms of the data service plan and any other agreement you have with your wireless carrier due to use of the software. You are solely responsible for any wireless carrier charges.
• 3.      INTERNET-BASED SERVICES. Ellipsis Infotech provides Internet-based services with the software. It may change or cancel them at any time. You may not use these services in any way that could harm them or impair anyone else’s use of them. You may not use the services to try to gain unauthorized access to any service, data, account or network by any means.
• 4.      SCOPE OF LICENSE. The software and application is licensed, not sold. This agreement only gives you some rights to use the software. Ellipsis Infotech reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that only allow you to use it in certain ways. You may not
  1. work around any technical limitations in the software;
  2. reverse engineer, decompile or disassemble the software, except and only to the extent that applicable law expressly permits, despite this limitation;
  3. make more copies of the software than specified in this agreement or allowed by applicable law, despite this limitation;
  4. publish the software for others to copy;
  5. distribute, rent, lease or lend the software;
  6. transfer the software or this agreement to any third party; or
  7. use the software for commercial software hosting services.

  • DOCUMENTATION. You may copy and use the documentation for your internal, reference purposes.
  • SUPPORT SERVICES. Because this software is “as is,” we may not provide support services for it. Your device manufacturer and your wireless carrier are not responsible for providing support services for the software. If you have any issues with this software or questions about your use, including questions about your company’s privacy policy, please contact your company’s IT Administrator. Do not contact Ellipsis Infotech, the application store owner, your network operator, or device manufacturer.
  • COPYRIGHT NOTICES. The software and Application ‘iCast’ are either registered trademarks or trademarks of Ellipsis Infotech in India and/or other countries. Android is a trademark of Google, Inc.
  • ENTIRE AGREEMENT. This agreement, and the terms for supplements, updates, Internet-based services and support services that you use, are the entire agreement for the software and support services.
  • APPLICABLE LAW. Laws of India and If you acquired the software in any other country, the laws of that country apply.
  • LEGAL EFFECT. This agreement describes certain legal rights. You may have other rights under the laws of your country. You may also have rights with respect to the party from whom you acquired the software. This agreement does not change your rights under the laws of your country if the laws of your country do not permit it to do so.
  • THIRD PARTY BENEFICIARY. You agree that Google, Inc. and its subsidiaries are third party beneficiaries of this agreement, and Google, Inc. has the right to enforce this agreement.
  • DISCLAIMER OF WARRANTY. THE SOFTWARE IS LICENSED “AS-IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE.” YOU BEAR THE RISK OF USING IT. ELLIPSIS INFOTECH AND THE WIRELESS CARRIERS OVER WHOSE NETWORK THE SOFTWARE IS DISTRIBUTED, AND EACH OF OUR RESPECTIVE AFFILIATES, AND SUPPLIERS (“COVERED PARTIES”), GIVES NO EXPRESS WARRANTIES, GUARANTEES, OR CONDITIONS UNDER OR IN RELATION TO THE SOFTWARE. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS OR STATUTORY GUARANTEES UNDER YOUR LOCAL LAWS THAT THIS AGREEMENT CANNOT CHANGE. TO THE EXTENT PERMITTED UNDER YOUR LOCAL LAWS, ELLIPSIS INFOTECH AND THE COVERED PARTIES EXCLUDE THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
  • LIMITATION ON AND EXCLUSION OF REMEDIES AND DAMAGES. YOU CANNOT RECOVER ANY DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT, PUNITIVE, OR INCIDENTAL DAMAGES OR ANY OTHER FROM ELLIPSIS INFOTECH AND ITS SUPPLIERS. YOU CANNOT RECOVER ANY OTHER FROM ANY COVERED PARTIES.
